This Terms of Service Agreement (“Agreement”) governs your access to and use of all hosting and related services (“Services”) provided by APT COM hosting, and its subsidiaries (“APT COM,” “we,” “us,” or “our”). By purchasing, activating, or using any Service, you (“Customer,” “you,” or “your”) agree to be legally bound by this Agreement.
If you do not agree with any part of this Agreement, you must discontinue use of the Services immediately.
This Agreement takes effect on the date you first purchase or activate any Service and remains in force for as long as you use our Services.
APT COM reserves the right to modify this Agreement at any time. We will notify you of material changes via email or by posting an updated version to our website. Your continued use of the Services after any modification constitutes your acceptance of the updated terms.
You agree to provide complete, accurate, and up-to-date information when registering for any Service. You are responsible for keeping your account details current at all times.

APT COM reserves the sole right to determine what constitutes a violation of this policy and to determine the appropriate corrective action, including immediate suspension or termination without refund. Accounts suspended for more than 14 calendar days may be permanently terminated and all data permanently deleted.
You bear full responsibility for the security, integrity, and backup of all data stored on your hosting account. APT COM is not a data backup or archival service.
Your responsibilities include:
APT COM reserves the right to delete files or archives that negatively impact server performance without prior notice. APT COM services are not PCI DSS compliant environments and must not be used for payment card data storage without additional compliance measures.
All trademarks, service marks, logos, software, platforms, control panels, and other proprietary materials made available through our Services are and remain the exclusive property of APT COM or its licensed partners. You receive no ownership rights in any such materials.
Any derivative works you create using APT COM-provided software or materials automatically vest in APT COM. This Agreement does not transfer any intellectual property rights to you, expressly or by implication, beyond the limited license granted herein.
Subject to your compliance with this Agreement, APT COM grants you a limited, non-exclusive, non-transferable, non-sublicensable license to use APT COM software solely for the ordinary and customary operation of your hosting account.

All software is provided “AS IS” without warranties of any kind, express or implied, including warranties of merchantability or fitness for a particular purpose.
APT COM may make third-party software available for account management purposes, including but not limited to cPanel, CyberPanel, CWP, and Google services. Such tools are provided on an “as-is, as-available” basis, and APT COM does not guarantee specific outcomes from their use.
By using third-party software through our platform, you agree to the applicable third-party terms of service. For example, ordering cPanel constitutes explicit agreement with cPanel’s end-user license. You are solely responsible for all third-party licensing fees beyond initial account setup.
APT COM reserves the right to suspend, alter, or revoke access to any third-party tool at any time, with or without notice, at its sole discretion.
All fees are payable in BDT and US Dollars in accordance with the fee schedule in effect at the time of your order. Fees for renewal periods are due on the first day of each renewal term.
Key billing terms:
All applicable taxes, VAT, and governmental charges are your sole responsibility.
You may cancel your Services by submitting a helpdesk ticket under the Billing category at least three (3) business days before your renewal date.
The following accounts are eligible for a refund only if cancelled within the specified period after initial sign-up:
No refund will be issued if the cancellation request falls outside the applicable guarantee period.
Regardless of when a cancellation occurs, the following are non-refundable:
APT COM provides customer support for issues directly related to our Services at no additional charge. Support is available exclusively through the HelpDesk system in your customer portal, via Live Chat or Support Ticket.
Important support policies:
For VPS and Dedicated Servers under User-Responsible or Basic Management plans, APT COM may assess a preliminary server check before determining whether to provide support. If support is provided, it will be billed at the rates listed on our Server Management page.
All Services must be used strictly for lawful purposes under applicable international, federal, state, and local laws. APT COM provides hosting infrastructure; it is not responsible for the legal compliance of your website content or business operations.
APT COM reserves the right to refuse service, suspend, or terminate any account whose content or operations are deemed illegal, misleading, obscene, or otherwise in violation of this Agreement or our AUP, at our sole discretion.
APT COM is a technical infrastructure provider. We do not create, review, monitor, or control the content published by our customers. All legal and moral responsibility for hosted content rests solely with the account holder.
You agree to fully indemnify APT COM for all costs, damages, legal fees, and penalties arising from any third-party claims related to content hosted under your account.

APT COM provides all Services on an “AS IS” and “AS AVAILABLE” basis. To the fullest extent permitted by law, APT COM expressly disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
APT COM is not liable for:

APT COM expressly reserves the right to deny, cancel, suspend, or modify access to any account or Service at any time, in its sole discretion, including for reasons such as:
Service fees may continue to accrue during any investigation of potential violations, and you remain responsible for all amounts due during such period.
This Agreement is governed by the laws of the United States and the State of Arizona, without regard to conflict of law principles. You agree that any legal action arising from this Agreement or your use of the Services must be filed exclusively in the United States District Court for the District of Arizona, or, if federal jurisdiction is unavailable, in a state court located in Maricopa County, Arizona.
Neither party will be in default for any delay or failure to perform obligations caused by circumstances beyond their reasonable control, including natural disasters, acts of God, war, terrorism, government action, labor disputes, or supplier failures. The affected party must provide written notice within five (5) days of discovering such an event and take all reasonable steps to mitigate its effects. If a force majeure event persists for more than thirty (30) days, APT COM may terminate this Agreement immediately.
All transactions are processed in US Dollars. APT COM may display estimated prices in other currencies for convenience only. Due to exchange rate fluctuations, the actual charged amount may differ from the displayed estimate. You waive any claim based on such discrepancies. VAT or other applicable taxes will be shown during checkout based on your billing address.
This Agreement, together with the AUP, Privacy Policy, and all other documents incorporated by reference, constitutes the entire agreement between you and APT COM and supersedes all prior agreements or understandings.
No amendment to this Agreement by you is valid unless made in writing and signed by an authorized representative of APT COM.
You may not assign or transfer your rights under this Agreement without APT COM’s prior written consent. APT COM may assign its rights and obligations freely.
If any provision of this Agreement is found unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and all remaining provisions will continue in full force.
Nothing in this Agreement creates a partnership, joint venture, agency, franchise, or employment relationship between you and APT COM.
Failure by APT COM to enforce any provision of this Agreement shall not constitute a waiver of that provision or any other provision.
By entering into this Agreement, you confirm that you are at least 18 years of age and legally capable of forming a binding contract.
All notices from APT COM to you will be sent to the contact information in your account profile. You are responsible for keeping this information current.

Additionally, APT COM is not responsible for damages resulting from a customer’s failure to uphold contractual obligations, particularly regarding data backup. Strict liability is expressly excluded for any pre-existing defects in the storage space provided before the contract was finalized.
APT COM and its agents are only liable in cases of **gross negligence or intentional misconduct**. However, this exclusion does not apply to breaches of fundamental contractual obligations, which are essential for proper contract execution and on which the customer regularly relies. Unless otherwise agreed, APT COM’s liability for service availability issues is limited to **the monthly subscription fee for the affected service**. In cases of **minor negligence leading to significant contract violations**, APT COM’s liability is restricted to foreseeable losses at the time of contract signing.
Customers are fully responsible for any direct or indirect losses (including lost profits) incurred by APT COM due to **contractual breaches** outlined in Section 5 of APT COM’s Terms and Conditions. Furthermore, customers agree to indemnify APT COM against all third-party claims arising from any illegal content stored on the provided storage space. This indemnification includes covering all legal defense expenses, such as **court and attorney fees**.
